1) Eligibility & Account Registration

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. You agree to provide accurate, current, and complete information and to keep it updated. We may decline or close accounts at our discretion, consistent with applicable law.

2) Identity Verification & Compliance

To comply with KYC, AML, sanctions, and other regulations, we may require identity, business, and risk information (e.g., government ID, business documents, beneficial ownership, geolocation, device data). You authorize us and our providers to obtain, verify, and record such information and to make compliance-related inquiries.

3) Using the Services

4) Fees, Taxes & Exchange Rates

Fees are shown at checkout, in your dashboard, or in separate pricing notices. You are responsible for all applicable taxes, duties, and regulatory assessments. If currency conversion applies, indicative rates and additional spread may be used by us or our partners.

5) TriPay Balance & Withdrawals

Where available, funds received may be reflected as a TriPay balance. Balances are not deposits or savings accounts and may not earn interest. Withdrawals/payouts are subject to holds, reserves, limits, cut-off times, and compliance reviews.

6) Payouts, Holds & Reserves

We may delay, hold, or reserve funds to manage risk (e.g., suspected fraud, chargebacks, high dispute rates, policy violations, missing information). We may offset or recover amounts owed to us from your balance or subsequent payments, as permitted by law.

7) Restricted Activities

8) Disputes, Chargebacks & Buyer/Seller Protections

Cardholders may dispute transactions under card network rules, which can result in chargebacks. You must respond to information requests and provide evidence. Our optional protections (if offered in your region) have separate eligibility rules and do not guarantee recovery. We may charge fees and recover losses arising from disputes.

9) Liability, Warranties & Indemnity

10) Account Suspension & Termination

We may suspend or terminate access, place restrictions, or close your account for risk, compliance, or policy reasons. You may close your account at any time, subject to settlement of outstanding obligations. Certain provisions survive termination (e.g., fees due, liabilities, dispute handling).

11) Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share personal information. You must obtain all required consents from your customers and provide legally adequate privacy notices where applicable.

12) Notices & Electronic Communications

We may provide notices electronically via email, dashboard, or in-product messages. By using the Services, you consent to receive electronic communications. You are responsible for keeping your contact details current.

13) Governing Law & Arbitration

These Terms are governed by applicable U.S. federal law and the laws of the state specified in your onboarding (without regard to conflict-of-laws rules). Except where prohibited, disputes will be resolved by binding individual arbitration, and you waive class actions. Details, rules, and opt-out instructions may be provided separately with your onboarding documents.

14) Changes to the Terms

We may update these Terms from time to time. Material changes will be notified via email or dashboard. Continued use after the effective date constitutes acceptance of the updated Terms.
